Standard Terms and Conditions for PLUSSMART Technology

 

1. Validity of Quotation: Unless otherwise specifically noted, any quotation is valid for a period of 30 days from the date of issuance. After this period, prices and conditions may be subject to change.

 

2. Scope of Work: This quotation (or proposal) is based solely on the scope of work as described within the proposal and is derived from our understanding of the RFQ and communications at the time of quotation issuance. Any changes or additions to the scope of work may result in revised quotations.

3. Confidentiality: The contents of the proposal and any information provided by PLUSSMART Technology in connection with this Proposal shall be kept confidential and shall only be disclosed to individuals who have a need to know the information in the course of placing the Order(s) contemplated by this Proposal. Further, you agree to use appropriate efforts (not less than reasonable efforts) to keep the information secure.

 

4. Service Terms and Conditions: Our standard service terms and conditions apply to all services provided under this quotation. Please refer to our PlusSmart Technology Standard Terms and Conditions incl. Warranty for detailed information. By accepting this quotation, you acknowledge and agree to abide by our service terms and conditions.

 

5. Information Accuracy: The accuracy and completeness of information provided by the client, either in the RFQ or during subsequent communications, are essential for the preparation of this quotation. If additional information that significantly impacts the scope or cost of the project becomes available after the issuance of this quotation, we reserve the right to revise our quotation accordingly.

 

6. Timely Documentation: It is the responsibility of the client to provide all necessary documentation and information in a timely manner as required for the execution of the proposal. Failure to provide essential documentation within a reasonable timeframe may result in project delays and additional costs.

 

7. Partial Completion: In cases where the client fails to provide essential documentation in due time after placing an order, we reserve the right to issue a full invoice for services rendered up to that point, regardless of whether the work is fully completed or not.

 

8. Notification of Missing Information: We will provide written notification to the client regarding any missing information required for the project. The client shall have a maximum of four (4) weeks from the date of notification to provide the missing information. If the requested information is not received within this timeframe, the work will be considered complete, and the project will be invoiced accordingly.

 

9. Cancellation: Once items are delivered or services have commenced, cancellations charges will be 50% of the remaining balance of the contract value.

10. Intellectual Property: Right to all intellectual properties, developed by PLUSSMART Technology, our OEM principals including but not limited to Poseidon Systems, remain the property of PLUSSMART Technology or Principal. 

 

By accepting this quotation, you acknowledge that you have read and agreed to these terms and conditions. Any variations or amendments to these terms must be agreed upon in writing between both parties.
